Ordering and Contracting

Terms and Conditions

The sole purpose of the Webshop is to list the available products and their prices and to enable Customers (distributors and end-users) who have signed a Framework Contract with Assono Hungary Ltd. (registered seat: H-1142 Budapest, Rákos tér 34., hereinafter referred to as Assono) to place orders for such products.

Pursuant to the Framework Contract sending the order placed in the Webshop and confirming the same in writing by Assono shall create a valid and binding delivery contract by and between Assono and the Customer.

Ordering is subject to the signing of the Framework Contract and the completion of the compulsory Registration Sheet upon the first entry to the Webshop. Before placing an order please check that all details are correct and amend them as necessary prior to sending your order.

The ordering process

1. Signing the Framework Contract

To download the .pdf version of the Framework Contract please click “Framework Contract” in the menu. Please read the document carefully, then familiarise yourself with the products of Assono and the present “Ordering and Contracting Terms and Conditions”. If you agree, please complete and duly sign the form and submit at least two originals to the address indicated in the Framework Contract.

In case you are not familiar with the products or if you have any questions or need further information beyond those available in the Webshop or at Assono’s website, you are welcome to inspect the products in person at Assono’s premises whose address you can find under “Customer Service”.

2. Selecting the products to be purchased

After setting the quantity the product chosen can be selected for purchase by clicking “Add To Cart”. Products selected for purchase can be reviewed by clicking “Show Cart”.

3. Ordering the selected products; confirmation of orders

In the Assono Webshop there are two methods to order the products placed in the Cart:

  1. Through the order feature of VoIPlaza.com: Products selected in the Webshop can be viewed individually and in overview mode by clicking “Show Cart”. As a next step please select the preferred method of shipment and payment on the ordering page. Please review those details and also the products shown, then click “Send Online Order” to transmit your order to Assono Hungary Ltd. automatically. A confirmation e-mail is sent to your contact e-mail address. By clicking “Send Online Order” you acknowledge that you are placing a valid and binding order. Upon receipt of the confirmation e-mail a Contract is created by and between the Parties under the terms and conditions set forth in the confirmation e-mail (price, delivery deadline) and in the Ordering and Contracting Terms and Conditions.
  1. Via facsimile: Products selected in the Webshop can be viewed individually and in overview mode by clicking “Show Cart”. As a next step please select the preferred method of shipment and payment on the ordering page. Please review those details and also the products shown, then click “Send Order via Fax” to view the Order Form in a printable PDF format. After printing, please return the signed Order Form to Assono. Only signed (or, in the case of companies and other entities, duly signed) orders are accepted. You will receive a confirmation of your order at the e-mail address or facsimile number you have provided.

Please make sure to always indicate your choice of payment and delivery method on the Order Form.

The confirmation shall always include the agreed deadline when the products can be picked up by or will be delivered to the customer.

The prices indicated in the Webshop are current net prices (exclusive of VAT). In the event that, as a result of a technical error, there is a discrepancy between the Webshop prices and the prices in the confirmation, the prices indicated in the confirmation shall prevail as valid and binding contract prices. Prices in HUF are final while prices in EUR are for information purposes only and are subject to change in line with exchange rates and do not necessarily reflect the actual net selling price.

In the event you do not receive the confirmation on the first working day after you have placed your order please call our Customer Service hotline.

4. Payment

The price of products ordered in our Webshop can be settled in two ways:

  1. In cash, upon pickup: The products ordered can be picked up at the premises of Assono Hungary Ltd. within five (5) working days from the date indicated in the confirmation. Failure of the Customer to pick up the goods within five (5) working days and to indicate the date of a later pickup in writing will be considered a waiver of the contract and have the legal consequences set forth in Article 7 of Framework Contract. Such delayed pickup must not be later than 14 days from the date indicated in the confirmation.
  1. Prepayment (via bank transfer): The confirmation is followed by a Pro Forma Invoice. As soon as the sum indicated in such Pro Forma Invoice is credited to Assono’s bank account the goods can be picked up at Assono’s premises. Alternatively, if the Customer requested delivery in the Order Form and also agreed to pay the delivery fee indicated in the Pro Forma Invoice, the goods are handed over to a courier within two (2) days of their arrival. By paying the sum indicated in the Pro Forma Invoice the Customer acknowledges the price and the terms and conditions of delivery set forth in the confirmation.
  1. Deferred payment (via bank transfer): This payment method is strictly subject to a separate, written agreement by and between Assono and the Customer, and in line with the terms and conditions set forth therein (credit line, payment deadline, late payment penalty). The order is confirmed in writing by Assono, including the delivery fee and deadline. Such confirmation creates a contract by and between the Parties. Assono shall issue the invoice with the agreed payment deadline and send it to the Customer either accompanying the goods or to the previously agreed invoicing address.

5. Picking up the goods

Goods can be picked up in two ways:

  1. At Assono’s premises by a duly authorized representative of the Customer.
  1. By means of delivery to the Customer’s premises or another location specified by the Customer. Delivery by Assono is at the cost of the Customer. Such cost shall be indicated both in the confirmation of the order and in the Pro Forma Invoice. Goods can be delivered to locations only where they can be received any time between 9.00 a.m. and 4.30 p.m. on working days and the person taking delivery is authorised to sign the delivery note. In the event a delivery attempt fails for a reason attributable to the Customer the goods are transported back to Assono’s premises and Assono shall notify the Customer in writing. In such cases the goods can be picked up at Assono’s premises or a second delivery attempt can be ordered and paid for in advance. Upon delivery, goods weighing more than 25 kg shall be unloaded by the Customer.

6. Warranty

In line with the terms and conditions set forth in the Framework Contract.

7. Complaints

Complaints shall be addressed to the contact points of our Customer Service Department. Complaints should preferably be made in writing and a response will be sent within 8 working days.
